These Terms of Service ("Terms") govern your access to and use of Circles Community (the "Service"), operated by Circles Co Technologies LLC ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts
You are responsible for keeping your account credentials confidential and for any activity that occurs under your account. Notify us promptly at support@circlesconference.com if you suspect unauthorized access.
3. Subscriptions and billing
Some features of the Service require a paid subscription. By subscribing, you authorize us and our payment processor (Stripe) to charge your payment method on a recurring basis until you cancel. Fees are non-refundable except as required by law or expressly stated in these Terms.
You can cancel anytime from your dashboard; cancellation takes effect at the end of the current billing period and you retain access until then. Plan and price changes will be communicated in advance.
4. Acceptable use
You agree not to (a) post unlawful, infringing, harassing, deceptive, or harmful content; (b) impersonate any person or organization; (c) scrape, reverse-engineer, or interfere with the Service; (d) use the Service to send spam or unsolicited communications; or (e) use the Service to compete directly with us or build a substantially similar product.
5. Your content
You retain ownership of the content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit your User Content solely to operate and improve the Service. You are responsible for the legality and accuracy of your User Content.
6. Listings and inquiries
Job and project listings, inquiries, and other communications between members are between those members. We do not employ, endorse, or vet posters or applicants and are not party to any agreement that results from contact made through the Service.
7. Intellectual property
The Service, including its design, code, logos, and trademarks, is owned by Circles Co Technologies LLC or its licensors and is protected by copyright and other laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.
8. Termination
We may suspend or terminate your access at any time for violation of these Terms, suspected fraud, or to protect the Service or other members. You may terminate your account at any time. On termination, your right to use the Service ends immediately; sections that by their nature should survive will survive.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the maximum extent permitted by law, Circles Co Technologies LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid us in the twelve months preceding the claim, or (b) US$100.
11. Indemnification
You agree to defend, indemnify, and hold harmless Circles Co Technologies LLC and its officers, employees, and agents from any claim arising out of your User Content, your use of the Service, or your violation of these Terms.
12. Changes
We may update these Terms from time to time. If a change is material, we will give you reasonable notice (e.g., by email or in-app notice). Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located there, and you consent to that jurisdiction.
